1. Acceptance of Terms

By installing, accessing, or using Maegham Dev Kit (“Software”), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, you must not install or use the Software.

2. Eligibility and Authority

You represent and warrant that:

• You are at least 18 years of age and legally competent.
• If you are using the Software on behalf of an organization, you have authority to bind that organization.

3. License Grant

Maegham Dev Kit is licensed, not sold.
Maegham Info Tech Private Limited grants you a limited, non-exclusive, non-transferable, nonassignable, revocable license to use the Software strictly in accordance with these Terms.

4. Mandatory User Information

To use the Software, you must mandatorily provide:

• A valid email address
• A valid phone number

This information is required for:

• License issuance and activation
• Subscription management
• Payment communication
• Audit, compliance, and legal correspondence

Providing inaccurate or false information may result in license suspension or termination.

5. License Activation and Validation (Online and Offline)

Maegham Dev Kit uses both online and offline license activation and validation mechanisms, depending on the subscription plan and deployment model

• Activation may be performed online through Company systems or offline via license/activation files
• Validation may occur online, offline, or both.
• Continuous internet connectivity is not guaranteed or mandatory.

Maegham Info Tech Private Limited does not guarantee real-time detection of misuse, especially in offline scenarios

6. Subscription Period, Renewal, and Expiry

• Licenses are issued on a time-bound subscription basis.
• Subscription periods begin upon successful payment and/or activation.
• Upon expiry, the Software may be restricted, limited, or disabled entirely
• Renewal may require online validation, offline re-issuance, or both.

6A. Payment Processing and Reference Information

Payments are processed through third-party gateways such as Razorpay and Stripe.
Maegham Info Tech Private Limited does not store sensitive payment details (card numbers, CVV, bank credentials). However, the Company may store limited payment reference information, including:

• Transaction or payment reference ID
• Payment status (successful, failed, pending)
• Payment amount and date
• Payment gateway name

This information is stored strictly for subscription activation, accounting, support, audits, and legal compliance
The Company is not responsible for payment failures caused by third-party gateways.

7. Use at Your Own Risk

Use of the Software is entirely at your own risk.
Maegham Info Tech Private Limited shall not be responsible for any decisions, actions, or consequences arising from use or reliance on the Software.

8. No Warranty (AS IS / AS AVAILABLE)

The Software is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including accuracy, fitness for a particular purpose, or uninterrupted operation.

9. Limitation of Liability

To the maximum extent permitted by law, Maegham Info Tech Private Limited shall not be liable for:

• Direct or indirect damages
• Loss of data, revenue, or profits
• Business interruption
• Security breaches or unauthorized access

10. User Responsibilities

You are solely responsible for:

• Verify outputs
• Maintain backups
• Securing systems, licenses, and credentials
• Compliance with applicable laws

The Software must not be relied upon as the sole basis for critical decisions

11. Prohibited Use

You shall not:

• Reverse engineer or modify the Software
• Bypass licensing mechanisms
• Use the Software for unlawful purposes

12. Suspension and Termination

Maegham Info Tech Private Limited may suspend or terminate access immediately for violation of these Terms, misuse, or legal requirements.

13. Intellectual Property

All intellectual property rights remain the exclusive property of Maegham Info Tech Private Limited.

14. No Professional Advice

The Software does not provide legal, financial, medical, or professional advice.

Governing Law & Jurisdiction

These Terms are governed by Indian law. Courts in Theni, Tamil Nadu have exclusive jurisdiction.
