1. Acceptance of Terms

By installing, accessing, or using Maegham Dev Kit ("Software"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, you must not install or use the Software.

2. Eligibility and Authority

You represent and warrant that:

• You are at least 18 years of age and legally competent.
• If you are using the Software on behalf of an organization, you have authority to bind that organization.

3. Non-Commercial Free License

Maegham Dev Kit is provided free of charge exclusively for personal and educational (non-commercial) use, subject to these Terms.

Maegham Info Tech Private Limited grants you a limited, non-exclusive, non-transferable, non-assignable, revocable license to use the Software strictly in accordance with these Terms.

Commercial use of Maegham Dev Kit is not permitted under this license. For commercial licensing enquiries, please contact Maegham Info Tech Private Limited directly.

4. Fully Offline Operation

Maegham Dev Kit is designed to operate entirely without an internet connection. All functionality, data, and configuration are stored locally within the application itself.

• The application does not transmit any data to external servers.
• No telemetry, analytics, or usage data is collected or sent.
• No online activation, license validation, or subscription management is required.
• All user data, settings, and outputs remain solely on your local device.
• The application functions identically with or without an internet connection.

5. What You Cannot Do

You agree not to:

• Reverse engineer, decompile, or disassemble the Software.
• Modify, adapt, or create derivative works.
• Use the Software for commercial purposes without a separate written agreement.
• Resell, sublicense, or redistribute the Software without explicit written permission.
• Use the Software for any unlawful, harmful, or fraudulent purpose.
• Attempt to extract, bypass, or tamper with internal application data or logic.

6. Updates

Maegham Info Tech Private Limited may release software updates, security fixes, and new features from time to time. Updates are distributed as standalone packages and do not require an active internet connection within the application itself. You are responsible for obtaining and applying updates.

These updates may be automatic or manual.

7. Use at Your Own Risk

Maegham Dev Kit is provided as is.

• We do not guarantee that the software will always be error-free.
• You should always maintain backups of your data.
• You are responsible for how you use the software.

8. No Warranty (AS IS / AS AVAILABLE)

The Software is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including accuracy, fitness for a particular purpose, or uninterrupted operation.

9. Limitation of Liability

Maegham Info Tech Private Limited is not responsible for:

• Loss of data
• Business interruptions
• System damage
• Financial losses caused by software usage

Always test the software before using it in production environments.

10. User Responsibilities

You are solely responsible for:

• Verifying outputs
• Maintaining backups
• Securing systems, licenses, and credentials
• Compliance with applicable laws
• Ensuring use of the Software is limited to non-commercial purposes as defined herein.

The Software must not be relied upon as the sole basis for critical decisions.

11. Prohibited Use

You shall not:

• Reverse engineer or modify the Software
• Bypass any internal application controls
• Use the Software for unlawful or commercial purposes
• Resell, sublicense, or distribute the Software
• Misrepresent the origin, authorship, or ownership of the Software

12. Suspension and Termination

Maegham Info Tech Private Limited may suspend or terminate access immediately for violation of these Terms, misuse, or legal requirements. Upon termination, you must cease all use and delete all copies of the Software.

13. Intellectual Property

All rights to Maegham Dev Kit belong to: Maegham Info Tech Private Limited

This includes: Source code, Design, Documentation & Branding.

14. No Professional Advice

The Software does not provide legal, financial, medical, or professional advice.

ENTERPRISE ADDENDUM

15. Enterprise Usage

Companies may use Maegham Dev Kit internally for non-commercial purposes.

If an organization requires:

• Dedicated support
• Custom features
• Service agreements

A separate enterprise agreement may be required.

16. SLA Disclaimer

No Service Level Agreement (SLA) is implied. All services are provided on a best-effort basis unless explicitly agreed in writing.

17. Support Scope

Support, feedback, and bug reports can be submitted through the official Maegham Dev Kit website at maeghamdevkit.maegham.com. Custom development, on-site support, data recovery, and third-party debugging are excluded.

18. Compliance Disclaimer

The Software is not certified for regulated environments such as financial, healthcare, government, or safety-critical systems unless agreed in writing.

19. Security Disclaimer

• No system is completely secure.
• Users are responsible for securing their own systems and environments.

20. Indemnification

You agree to indemnify and hold harmless Maegham Info Tech Private Limited from claims arising from misuse or violation of these Terms.

ANNEX A – INDIA (DIGITAL PERSONAL DATA PROTECTION ACT, 2023)

21. Data Fiduciary

Maegham Info Tech Private Limited acts as a Data Fiduciary where applicable. As no personal data is collected through the application itself, this applies only to any information voluntarily shared via support or website contact.

22. Data Principal Rights

Users have rights to access, correction, erasure, consent withdrawal, and grievance redressal under the DPDP Act.

23. Data Breach Management

Reasonable steps will be taken to mitigate and notify breaches where required by law.

ANNEX B – GDPR / UK GDPR

24. Data Controller

Maegham Info Tech Private Limited is the Data Controller.

25. Legal Basis

Processing is based on contractual necessity and legitimate business interests, applicable only to information voluntarily shared via support contact.

26. Data Subject Rights

EU/UK users have rights including access, rectification, erasure, restriction, portability, and objection.

27. International Transfers

Appropriate safeguards are applied for international transfers.

28. No Automated Decision-Making

No automated decision-making producing legal effects is performed.

Governing Law

These terms are governed by the laws of India.

Any legal disputes will be handled in the courts of: Theni, Tamil Nadu, India
